Aurex Terms of Use

These Aurex Terms of Use are entered into between you (hereinafter referred to as "you" or "your") and Aurex operators (as defined below). By accessing, downloading, using, or clicking on "I agree" to accept any Aurex services (as defined below) provided by Aurex (as defined below), you agree that you have read, understood, and accepted all of the terms and conditions stipulated in these Terms of Use (hereinafter referred to as "these Terms") as well as our Privacy Policy at https://Aurex.com/privacy-policy. In addition, when using some features of the Services, you may be subject to specific additional terms and conditions applicable to those features. Please carefully review these terms as they govern your use of Aurex services.

THESE TERMS CONTAIN IMPORTANT PROVISIONS, INCLUDING AN ARBITRATION PROVISION THAT REQUIRES ALL CLAIMS TO BE RESOLVED BY LEGALLY BINDING ARBITRATION.

The terms of the arbitration provision are outlined in Article 10, "Resolving Disputes: Forum, Arbitration, Class Action Waiver;" below. As with any asset, the value of Digital Currencies (as defined below) may fluctuate significantly, and there is a substantial risk of economic losses when purchasing, selling, holding, or investing in Digital Currencies and their derivatives.

BY USING AUREX SERVICES, YOU ACKNOWLEDGE AND AGREE THAT: (1) YOU ARE AWARE OF THE RISKS ASSOCIATED WITH TRANSACTIONS OF DIGITAL CURRENCIES AND THEIR DERIVATIVES; (2) YOU SHALL ASSUME ALL RISKS RELATED TO THE USE OF AUREX SERVICES AND TRANSACTIONS OF DIGITAL CURRENCIES AND THEIR DERIVATIVES; AND (3) AUREX SHALL NOT BE LIABLE FOR ANY SUCH RISKS OR ADVERSE OUTCOMES

By accessing, using, or attempting to use Aurex Services in any capacity, you acknowledge that you accept and agree to be bound by these Terms. If you do not agree, do not access Aurex or utilize Aurex services. If you would like to know more about the risks associated with investing in or trading Digital Assets, you can access our General Risk warnings.

Definition

Aurex refers to an ecosystem comprising Aurex websites (whose domain names include but are not limited to https://www.Aurexmarkets.com), mobile applications, clients, applets, and other applications that are developed to offer Aurex Services, and includes independently-operated platforms, websites, and clients within the ecosystem. In case of any inconsistency between relevant terms of use of the above platforms and the contents of these Terms, the respective applicable terms of such platforms shall prevail.
Aurex Accounts refer to the foundational virtual accounts, including main accounts and subaccounts, which are opened by Aurex for Users to record on Aurex their usage of Aurex Services, transactions, assets changes, and basic information. Aurex Accounts serve as the basis for users to enjoy and exercise their rights on Aurex.
Aurex Fiat Account means the record of your fiat currencies balance (if any), which is enabled through an electronic money wallet (or similar account) service that is provided by a Fiat Partner.
Aurex Operators refer to all parties that run Aurex, including but not limited to legal persons, unincorporated organizations, and teams that provide Aurex Services and are responsible for such services. For convenience, unless otherwise stated, references to "Aurex" and "we" in these Terms essentially mean Aurex Operators. UNDER THESE TERMS, AUREX OPERATORS MAY CHANGE AS BUSINESS ADJUSTS, IN WHICH CASE, THE CHANGED OPERATORS SHALL PERFORM THEIR OBLIGATIONS UNDER THESE TERMS WITH YOU AND PROVIDE SERVICES TO YOU, AND SUCH CHANGE DOES NOT AFFECT YOUR RIGHTS AND INTERESTS UNDER THESE TERMS. ADDITIONALLY, THE SCOPE OF AUREX OPERATORS MAY BE EXPANDED DUE TO THE PROVISION OF NEW AUREX SERVICES, IN WHICH CASE, IF YOU INTEND TO USE AUREX SERVICES, IT IS DEEMED THAT YOU HAVE AGREED TO JOINTLY EXECUTE THESE TERMS WITH THE NEWLY ADDED AUREX OPERATORS. IN CASE OF A DISPUTE, YOU SHALL DETERMINE THE ENTITIES BY WHICH THESE TERMS ARE PERFORMED WITH YOU AND THE COUNTERPARTIES OF THE DISPUTE, DEPENDING ON THE SPECIFIC SERVICES YOU USE AND THE PARTICULAR ACTIONS THAT AFFECT YOUR RIGHTS OR INTERESTS.
Aurex Services refer to various services provided to you by Aurex that are based on Internet and/or blockchain technologies and offered via Aurex websites, mobile applications, clients and other forms (including new ones enabled by future technological development). Aurex Services include but are not limited to such Aurex ecosystem components as Digital Asset Trading Platforms and the financing sector.
Aurex Platform Rules refer to all rules, interpretations, announcements, statements, letters of consent, and other content that has been or will be subsequently released by Aurex, as well as all regulations, implementation rules, product process descriptions, and announcements published in the Help Center or within products or service processes.
Collateral Accounts are accounts specifically created by users on Aurex to deposit and withdraw collateral, such as margins, as required for contract transactions, leveraged trading, and/or currency borrowing services in accordance with these Terms (including the Aurex Contract Services Agreement and Aurex Platform Rules).
"Digital Currencies" are tokens or cryptocurrencies with a certain value that are encrypted or digital, based on blockchain and cryptography technologies, and managed in a decentralized manner. This definition applies to Aurex unless otherwise stated.
Digital Assets are defined as digitalized assets with a certain value, including Digital Currencies and their derivatives.
Fiat Partner refers to a third-party service provider that Aurex may collaborate with in relation to Fiat Services.
Fiat Services, provided by Aurex, include: (a) Depositing fiat currencies into your Aurex Fiat Account via bank transfer, or with your debit card or credit card. (b) Purchasing Digital Assets with fiat currencies at current market prices using your Aurex Fiat Account balance or debit/credit card. (c) Selling Digital Assets at current market prices for fiat currencies and depositing the proceeds either into your Aurex Fiat Account or your debit/credit card. (d) Withdrawing fiat currencies from your Aurex Fiat Account to your bank account or debit/credit card.
KYC, short for "know-your-customer," is a process implemented by Aurex to verify the identity of its Users and scrutinize their transactions. Aurex may take any necessary measures to identify its Users, verify their identities, investigate their transactions, or comply with applicable laws and regulations.
Spot Trading involves the immediate settlement of buying or selling supported Digital Assets and/or any supported fiat currency on the Aurex exchange.
Users are individuals, institutions, or organizations that access, download, or use Aurex or its services, and who meet the criteria and conditions set by Aurex. If there are other agreements for entities such as developers, distributors, market makers, and Digital Currencies exchanges, those agreements must be followed.

About these Terms

Contractual RelationshipThese Terms establish a legal agreement and create a binding contract between you and Aurex Operators.

Supplementary TermsGiven the fast-paced development of Digital Currencies and Aurex, these Terms do not cover all rights and obligations of each party, and may not fully align with needs arising from future development. As a result, the PRIVACY POLICY (1), Aurex PLATFORM RULES, AND ANY OTHER AGREEMENTS ENTERED INTO SEPARATELY BETWEEN YOU AND AUREX ARE CONSIDERED SUPPLEMENTARY TERMS THAT ARE AN INTEGRAL PART OF THESE TERMS AND SHALL HAVE THE SAME LEGAL EFFECT. YOUR USE OF Aurex SERVICES IS CONSIDERED YOUR ACCEPTANCE OF THE ABOVE SUPPLEMENTARY TERMS.c.

Changes to These TermsAUREX reserves the right to modify or change these Terms in its discretion at any time. Aurex will inform users of these changes by updating the terms on its website (i) and modifying the "Last revised" date displayed on this page. ALL MODIFICATIONS OR CHANGES TO THESE TERMS WILL BE EFFECTIVE UPON PUBLICATION ON THE WEBSITE OR RELEASE TO USERS. THEREFORE, YOUR CONTINUE USE OF Aurex SERVICES IS CONSIDERED YOUR ACCEPTANCE OF THE MODIFIED AGREEMENT AND RULES. IF YOU DO NOT AGREE TO ANY CHANGES TO THESE TERMS, YOU MUST STOP USING Aurex SERVICES IMMEDIATELY. YOU ARE ADVISED TO REVIEW THESE TERMS FREQUENTLY TO ENSURE YOUR UNDERSTANDING OF THE TERMS AND CONDITIONS THAT APPLY TO YOUR ACCESS TO AND USE OF Aurex SERVICES.

Prohibition of UseBY ACCESSING AND USING Aurex SERVICES, YOU AFFIRM AND GUARANTEE THAT YOU HAVE NOT BEEN INCLUDED IN ANY TRADE EMBARGOES OR ECONOMIC SANCTIONS LIST (SUCH AS THE UNITED NATIONS SECURITY COUNCIL SANCTIONS LIST), THE LIST OF SPECIALLY DESIGNATED NATIONALS MAINTAINED BY OFAC (THE OFFICE OF FOREIGN ASSETS CONTROL OF THE U.S. DEPARTMENT OF THE TREASURY), OR THE DENIED PERSONS OR ENTITY LIST OF THE U.S. DEPARTMENT OF COMMERCE. Aurex RESERVES THE RIGHT TO DECIDE ON MARKETS AND JURISDICTIONS TO CONDUCT BUSINESS AND MAY, IN ITS DISCRETION, RESTRICT OR REFUSE THE PROVISION OF Aurex SERVICES IN CERTAIN COUNTRIES OR REGIONS.

About AurexAs an integral component of the Ecosystem, Aurex is primarily a digital assets trading platform catering to a global audience. It offers Users a wide range of services, including but not limited to trading, financing, technical support, and other digital assets-related services. To begin trading, Users must open an account with Aurex, deposit digital assets into their account, and adhere to the limitations stated in these Terms while applying for digital assets withdrawals. While Aurex is dedicated to maintaining the accuracy of information provided through its services, it cannot ensure the accuracy, applicability, reliability, integrity, performance, or suitability of the information. As a result, Aurex shall not be responsible for any loss or damage that may arise directly or indirectly from the use of this content. The information on Aurex Services is subject to change without notice, and its primary goal is to assist Users in making informed decisions. Aurex does not provide investment or consulting advice of any sort and is not liable for the use or interpretation of information on Aurex or any other communication channel. All Users of Aurex Services must comprehend the risks associated with digital assets trading and are encouraged to exercise caution and trade within their capabilities.

Aurex Account Registration and Requirements

Account RegistrationTo use Aurex's services, all users must first apply for a Aurex account through the registration page (https://www.panel.Aurex.com/register). During the registration process, users must provide the information requested by Aurex and agree to the Terms of Service, Privacy Policy, and other platform rules. Aurex reserves the right to refuse to open an account for any user. Users are responsible for providing accurate and up-to-date information when registering and must maintain the accuracy of their account information. Each user is allowed only one main account, but they may open sub-accounts with Aurex's consent. Certain services may require users to set up a separate account in accordance with the Terms of Service or Supplementary Terms. The management and protection of these trading accounts are governed by the same provisions outlined in this section and Section VI, unless otherwise stated.

EligibilityBy registering for a Aurex account, users represent and warrant that:

they are at least 18 years old or have the legal capacity to form a binding contract under applicable laws;
they have the legal capacity and authority to enter into the Terms of Service;
they have not been previously suspended or removed from using the Aurex platform or services;
they do not have an existing Aurex account;
they are not accessing Aurex from or on behalf of a person or legal entity located in a Restricted Location, which includes countries such as the United States, Malaysia, Ontario (Canada), and other locations as designated by Aurex from time to time;
if users act as employees or agents of a legal entity, they have the necessary rights and authority to bind that entity and to access and use Aurex on their behalf; and
their use of Aurex's platform and services will not violate any applicable laws and regulations, including but not limited to anti-money laundering, anti-corruption, and counter-terrorist financing regulations.

Please note that various countries may have legal requirements that restrict the products and services that Aurex can offer. As a result, certain products, services, and functionality within the Aurex platform may be restricted or unavailable in certain regions or to certain users. Users are responsible for understanding and complying with any restrictions and requirements related to their access to and use of Aurex's platform and services. Aurex reserves the right to change, modify, or impose additional restrictions on access to and use of its platform and services at any time and without prior notification.c.

User Identity verificationYour registration of an account with Aurex will be considered your acceptance to provide necessary personal information for identity verification. Such information will be utilized to verify Users' identity, detect traces of money laundering, terrorist financing, fraud, and other financial crimes through Aurex, or for other legitimate purposes as stated by Aurex. We will collect, use, and share such information in accordance with our Privacy Policy. Additionally, you agree to allow us to maintain a record of that information during the period for which your account is active and within five (5) years after your account is closed, in compliance with global industry standards on data storage. You also authorize us to conduct essential investigations directly or through a third party to verify your identity or safeguard you and/or us from fraud or other financial crimes. The details we need to confirm your identity may include, but are not restricted to, your name, email address, contact information, phone number, username, government-issued ID, date of birth, and other information gathered during account registration. When providing the necessary information, you certify that it is accurate and true.

AFTER REGISTRATION, YOU MUST ENSURE THAT THE INFORMATION IS TRUE, COMPLETE, AND TIMELY UPDATED WHEN CHANGED.If we have any grounds to believe that any of the information you provided is incorrect, false, outdated or incomplete, Aurex reserves the right to send you a notice to demand correction, directly delete the relevant information, and, as the case may be, terminate all or part of Aurex services we provide for you. If we are unable to reach you with the contact information you provided, you shall be fully liable for any loss or expense caused by Aurex during your use of Aurex services. By registering an account, you hereby authorize Aurex to conduct investigations that Aurex considers necessary, either directly or through a third party, to verify your identity or protect you, other users and/or Aurex from fraud or other financial crimes, and to take necessary actions based on the results of such investigations. You also acknowledge and agree that your personal information may be disclosed to credit bureaus and agencies for fraud prevention or financial crime prevention, which may respond to our investigations in full.

Account Usage RequirementsThe Aurex Account can only be used by the account registrant. Aurex reserves the right to suspend, freeze or cancel the use of Aurex Accounts by persons other than the account registrant. If you suspect or become aware of any unauthorized use of your username and password, you should notify Aurex immediately. Aurex assumes no liability for any loss or damage arising from the use of your Aurex Account by you or any third party with or without your authorization.e.

Account SecurityAurex is committed to maintaining the security of user entrusted funds, and has implemented industry-standard protection for Aurex services. However, the actions of individual users may pose risks. You agree to treat your access credentials (such as username and password) as confidential information and not to disclose such information to any third party. You also agree to be solely responsible for taking the necessary security measures to protect your Aurex Account and personal information from any third party with or without your authorization.You should be solely responsible for keeping your Aurex Account and password safe and be responsible for all transactions under your account. Aurex assumes no liability for any loss or consequences caused by authorized or unauthorized use of your account credentials, including but not limited to information disclosure, information release, breach, consent, or submission of various rules and agreements by clicking on the website, online agreement renewal, etc. By creating a Aurex Account, you hereby agree that:

You will notify Aurex immediately if you are aware of any unauthorized use of your Aurex Account and password or any other violation of security rules.
You will strictly abide by all mechanisms or procedures of Aurex regarding security, authentication, trading, charging, and withdrawal.
You will take appropriate steps to log out from Aurex at the end of each visit.

Aurex ServicesUpon successful registration and completion of identity verification for your Aurex Account, you will have access to various Aurex Services, including but not limited to Spot Trading, Fiat Services, contract trading, leveraged trading, margin trading, Aurex savings services, staking, acquiring market-related data, research and other information released by Aurex, and participating in User activities held by Aurex, etc., subject to the provisions of these Terms (including Aurex Platform Rules and other individual agreements). Aurex reserves the right to:

Provide, modify or terminate any Aurex Services at its discretion.
Allow or prohibit certain Users from using any Aurex Services in accordance with relevant Aurex Platform Rules.

Aurex has the exclusive authority to determine which Digital Assets are listed on the platform and may add or remove Digital Assets from the platform in its sole discretion, from time to time. Aurex may also change the order of Digital Assets available for each Digital Asset. In the event of such additions, removals, or amendments, Aurex may, but is not obligated to, notify Users in advance and shall not be liable to Users in connection with such additions, removals or amendments.

Service Usage Guidelines

1.License

Provided that you constantly comply with the express terms and conditions stated in these Terms, Aurex grants you a revocable, limited, royalty-free, non-exclusive, non-transferable, and non-sublicensable license to access and use Aurex Services through your computer or Internet compatible devices for your personal/internal purposes. You are prohibited to use Aurex Services for resale or commercial purposes, including transactions on behalf of other persons or entities. All the above actions are expressly prohibited and constitute a material violation of these Terms. The content layout, format, function and access rights regarding Aurex Services should be stipulated in the discretion of Aurex. Aurex reserves all rights not expressly granted in these Terms. Therefore, you are hereby prohibited from using Aurex Services in any way not expressly authorized by these Terms.These Terms only grant a limited license to access and use Aurex Services. Therefore, you hereby agree that when you use Aurex Services, Aurex does not transfer Aurex Services or the ownership of intellectual property rights of any Aurex intellectual property to you or anyone else. All the text, graphics, user interfaces, visual interface, photos, sounds, process diagrams, computer code (including html code), programs, software, products, information and documents, as well as the design, structure, selection, coordination, expression, look and feel, and layout of any of the services or provided through Aurex Services, are exclusively owned, controlled and licensed by Aurex Operators or by the members, parent companies, licensors or affiliates.Aurex owns any feedback, suggestions, ideas, or other information or materials (hereinafter collectively referred to as "Feedback") about Aurex or Aurex Services that you provide through email, Aurex Services, or other ways. You hereby transfer all rights, ownership and interests of the Feedbacks and all related intellectual property rights to Aurex. You have no right and hereby waive any request for acknowledgment or compensation based on any Feedback, or any modification based on any Feedback.b.

2.Restriction

Trading services that make use of Aurex quotes or market bulletin board information.
Data feeding or streaming services that make use of any market data of Aurex.
Any other websites/apps/services that charge for or otherwise profit from (including through advertising or referral fees) market data obtained from Aurex.

Without prior written consent from Aurex, you may not modify, replicate, duplicate, copy, download, store, further transmit, disseminate, transfer, disassemble, broadcast, publish, remove or alter any copyright statement or license, sub-license, sell, mirror, design, rent, lease, private label, grant security interests in the properties or create their derivative works or otherwise take advantage of any part of the properties.You may not (i) use deep linking, web crawlers, bots, spiders or other automatic devices, programs, scripts, algorithms or methods, or any similar or equivalent manual processes to access, obtain, copy or monitor any part of the properties, or replicate or bypass the navigational structure or presentation of Aurex Services in any way in order to attempt to obtain any materials, documents or information in any manner not purposely provided through Aurex Services; (ii) attempt to access any part of function of the properties without authorization, or connect to Aurex Services or any Aurex servers or any other systems or networks of any Aurex Services provided through the services by hacking, password mining or any other unlawful or prohibited means; (iii) probe, scan or test the vulnerabilities of Aurex Services or any network connected to the properties, or violate any security or authentication measures on Aurex Services or any network connected to Aurex Services; (iv) reverse look-up, track or seek to track any information of any other Users or visitors of Aurex Services; (v) take any actions that imposes an unreasonable or disproportionately large load on the infrastructure of systems or networks of Aurex Services or Aurex, or the infrastructure of any systems or networks connected to Aurex services; (vi) use any devices, software or routine programs to interfere with the normal operation of Aurex Services or any transactions on Aurex Services, or any other person's use of Aurex Services; (vii) forge headers, impersonate, or otherwise manipulate identification, to disguise your identity or the origin of any messages or transmissions you send to Aurex or; (viii) Use Aurex Services in an illegal manner.By accessing Aurex Services, you agree that Aurex has the right to investigate any violation of these Terms, unilaterally determine whether you have violated these Terms, and take actions under relevant regulations without your consent or prior notice. Examples of such actions include, but are not limited to:

Blocking and closing order requests;
Freezing your account;
Reporting the incident to the authorities;
Deleting any information you published that is found to be in violation of these Terms.

.Spot Trading

By utilizing Spot Trading, you acknowledge that you have read, comprehended, and agreed to the Spot Trading Terms of Use, which are applicable to all Spot Trading (as defined in the Spot Trading Terms of Use).

Fiat Services

By agreeing to these Terms, you acknowledge and agree that:

You have read, accepted, and will abide by these Terms, the Legal Statement, the Privacy Policy, and any other Aurex Platform Rules related to Fiat Services.
Aurex may collaborate with any Fiat Partners, and if applicable, you will establish an account with such Fiat Partners by completing the appropriate registration and identity verification for that account and accepting any user agreements, terms and conditions, policies and procedures or similar documents of any Fiat Partners.
Any payments expressed in any fiat currencies made in connection with any Fiat Services may not be cancelled, recalled, or refunded. Furthermore, any chargeback requests related to any Fiat Services that involve a Fiat Partner are subject to that Fiat Partner's policies and procedures.

Futures Trading

To engage in Futures Trading, you enter into a separate Aurex Futures Service Agreement with Aurex and open a Collateral Account, following the successful completion of registration and identity verification for your Aurex Account. By doing so, you confirm and acknowledge that:

You understand and accept the high risks associated with Futures Trading, including the potential for significant fluctuations in the value of Digital Assets, as well as the increased risk of adverse outcomes when leverage is used.
You possess the necessary investment knowledge and experience, and have the ability to bear the risks arising from Futures Trading, and agree to independently assume all risks associated with such investments.
Before engaging in Futures Trading, you have carefully read and understood all provisions of the Aurex Futures Service Agreement and the relevant Aurex Platform Rules, and have consulted with professionals to make informed decisions based on their recommendations and your own reasonable judgment.
You authorize Aurex to take reasonable measures, at its discretion, to protect the legitimate interests of yourself, Aurex, and other Users, including but not limited to forced liquidation and forced position reduction under specific circumstances, in accordance with the Aurex Futures Service Agreement and the relevant Aurex Platform Rules.

Options Trading

To engage in Options Trading, you are required to enter into a separate Aurex Options Service Agreement with Aurex and open a Collateral Account, following the successful completion of registration and identity verification for your Aurex Account. By doing so, you confirm and acknowledge that:a. You understand the significant risks associated with Options Trading, such as the possibility of major Digital Asset fluctuations and the potential for increased negative outcomes when leverage is used;b. You possess adequate investment knowledge and experience, as well as the ability to assume the risks involved in Options Trading independently;

Prior to participating in Options Trading, you have read and comprehended the terms of the Aurex Options Service Agreement and all relevant Aurex Platform Rules, which supplement these Terms of Use. Additionally, you have consulted with professionals and made informed decisions based on their advice and your own reasonable judgment.d. You authorize Aurex to employ various reasonable measures at its discretion (including forced position reduction and forced liquidation under certain circumstances) in accordance with the Aurex Options Service Agreement and all relevant Aurex Platform Rules, in order to safeguard the lawful interests of you, Aurex, and other users.
